In lieu of several factors directly related to the decision to finance the purchase of the above referenced property the original closing date which was scheduled to occur on December 15, 2022 is no longer reasonably attainable. Therefore, an alternate date of December 22, 2022 has been selected and agreed upon by both parties involved in the transaction. In that regard, a First Amendment to Purchase and Sales Agreement has been drafted which outlines the agreed upon conditions related to the amended date. The agreement has been reviewed by the City Attorney and he has indicated that the document meets with his approval.
Since the original closing date was established for December 15, 2022, the amendment had to be effectuated sometime before that date. In order to achieve the required delivery date, I endorsed the agreement subject to your ratification of my execution of the document and submitted it to legal counsel representing Lemonade MM New Port Richey LLC. and that was agreeable to them. Therefore, please consider ratifying the First Amendment to the Purchase and Sale Agreement.
RECOMMENDATION:
The recommendation is to authorize the Executive Director/City Manager to execute the First Amendment to the Purchase and Sale Agreement which amends the closing date of the transaction from December 15, 2022 to on or before December 22, 2022.
